Private Equity Deal Judgment Library

Make screening gates explicit before deal momentum builds. Then give each material finding an evidence action, a change to economics or structure, an ownership response, a documented monitoring rationale—or a decision to decline.

Framework boundary

This UpLevered educational framework is built from corpus-derived research prompts and synthetic examples. It is a transparent house workflow, not a universal industry standard, score or investment recommendation. It embeds no current market threshold and provides no legal, tax or other professional advice. Adapt every gate and authority to the actual fund and transaction.

Use synthetic or sanitized information only. Do not paste confidential, personal, employer or live-deal information into these browser working papers.

01 · Framework scope

The missing layer is not more diligence. It is disposition.

Existing UpLevered assets explain how to preserve evidence, review a model and work a full case. This framework starts after a claim reaches the decision team: what should the team stop, investigate, change, condition, assign or accept?

Corpus roleA cross-library map of deal-judgment questions and source works

The corpus identifies recurring decisions and preserves question-level provenance. Its taxonomy assignments are routing aids, not proof that a rule is correct or demanded.

Public framework3 working papers · 9 gates · 9 finding outcomes

The rules use checked representative prompts, synthetic defaults and explicit house logic. Current market, legal, tax and financing conclusions stay outside the framework.

02 · Decision chain

The house framework gives each stage a different decision.

Do not let an information request silently become an underwriting commitment. Preserve the gate, the question that matters and the person authorized to move the deal.

  1. 01Opportunity

Record what arrived, why it might fit and which claim creates the initial interest.

    Decision: screen?
  2. 02Screen

Test mandate, ownership fit, core economics, downside and process economics.

    Decision: pass, pause or advance?
  3. 03Authorize work

Name the uncertainty, the evidence required and the decision that answer can change.

    Decision: which work earns time?
  4. 04Classify finding

Separate evidence status, materiality, quantification, remedy and residual risk.

    Decision: what must change?
  5. 05Handoff to IC

State what changed, what remains open, dissent and the exact approval requested.

    Decision: proceed on what conditions?
03 · Screen-out logic

Make the kill rule explicit before deal momentum builds.

The synthetic worksheet starts with six unknowns on purpose. Three are marked critical and pause the gate; three may advance only as owned open items. Your team decides which unknowns truly block the next gate.

Working paper DJ-01

Screen-out gate

Mark each criterion clear, unknown or breached. You decide which breaches are fatal and which unknowns block this gate; the worksheet only applies the visible house rule below.

Mandate and strategy fit
S-01Mandate and strategy fit

Does the opportunity fit the fund's stated sector, geography, stage and ownership mandate?

Check size and ownership
S-02Check size and ownership

Can the fund write the required equity check and obtain the ownership or influence the thesis assumes?

Business-model legibility
S-03Business-model legibility

Can the team explain how the company makes money, converts earnings to cash and loses money in a downside?

Ownership thesis and edge
S-04Ownership thesis and edge

Is there a specific reason this owner can create value beyond paying the market price and adding leverage?

Earnings and cash quality
S-05Earnings and cash quality

Are the earnings definition, cash conversion and working-capital needs legible enough to frame an underwrite?

Downside capacity
S-06Downside capacity

Can the business absorb an operating miss without making the capital structure or liquidity case incoherent?

Management and governance fit
S-07Management and governance fit

Is the required management, board and decision-rights configuration plausible for the ownership plan?

Exit-path plausibility
S-08Exit-path plausibility

Is there at least one coherent buyer or liquidity path that does not require a heroic assumption?

Process economics
S-09Process economics

Is the expected decision value of more work proportionate to time, cost and the probability of reaching an executable deal?

04 · Finding disposition

A finding is incomplete until it changes something.

Start from a synthetic worked case, then change the evidence, thesis effect, quantification and intended response. The framework checks the selections for internal consistency: unresolved evidence holds the selected response, and repricing requires a bounded or modeled economic effect.

Working paper DJ-02

Finding-to-decision mapper

Classify a finding, choose the intended response, and test whether the response has the evidence and quantification it needs. The mapper exposes its precedence; it does not make the investment decision.

Nine working finding outcomes

A finding should change a decision artifact or carry a documented reason for no change. These are transparent UpLevered educational house rules, not universal standards or an investment recommendation. They are not legal, tax or other professional advice, and contractual terms require deal-specific adviser review.

05 · IC handoff

Ask for one decision, with the reversals visible.

Treat this packet as a decision summary, not the final storage location for diligence. Summarize the facts, judgments and unresolved items that can change the gate, link them to the preserved evidence record and keep meaningful contrary evidence visible.

Blank decision packetDJ-03
Exact decision requestedAdvance / pause / approve with conditions / pass
Recommendation
One sentence, one accountable owner.
What changed
Only changes since the prior gate, tied to evidence.
Open items
Owner, deadline and the decision each answer can change.
Reversal condition
Evidence that would make the team change its recommendation.
Dissent
The strongest contrary view, named rather than averaged away.
Conditions
Price, structure, protection, financing, close or ownership actions.

Bias check: if the case rests on time already spent, deployment pressure or a desire to close, return to the screen and restate the deal merits without those facts.

06 · Source appendix

The questions behind the working rules.

These are synthesized research prompts, not quotations or proof that a rule is correct. Corpus-traced prompts stay separate from analyst inferences, and older works support structural inquiry—not current jurisdictional convention or market practice.

How to use the framework

A transparent house framework, not a universal underwriting standard.

Use the tools to expose the team's gates, open items and intended deal responses. The output does not decide whether an investment is attractive, replace the full diligence record or supersede the fund's mandate, approval authority or adviser input.

Evidence boundaries
  • Define mandate, materiality and decision authority before applying the rules.
  • Pause critical unknowns; carry ordinary unknowns with an owner and evidence action.
  • Keep full supporting and contrary evidence in the linked diligence record.
  • Use current primary sources and deal-specific advisers for legal, tax, financing and market conclusions.
  • Use synthetic or sanitized information only.
